The Supervisory Board will also propose to the AGM the reappointment of Harold Goddijn and Marina Wyatt as members of the Management Board and the reappointment of Peter Wakkie as member of the Supervisory Board. In accordance with the Dutch corporate governance code, the term of the appointments will be four years. The appointments should become effective as of 23 April 2013.
The Management Board will propose to the AGM to grant to the Stichting Continuïteit TomTom the right to subscribe for additional preferred shares up to 100% (currently 50%) of the aggregate nominal value of the outstanding ordinary shares. Once adopted by the AGM, the Management Board will waive its rights under its existing authority to issue preferred shares or to grant rights to subscribe for preferred shares equal to 50% of the aggregate nominal value of the outstanding ordinary shares.
